Terms Of Service

Section of this Agreement

This agreement consists of the following terms and conditions (hereinafter referred to as "General Terms") and, if any, specific terms and conditions for the use of individual Services (hereinafter referred to as "Service Specific Terms"). In the event of a conflict between the General Terms and the Service Specific Terms, the Service Specific Terms shall prevail.

Acceptance of Agreement

You must be of legal age to form a binding contract to accept the Agreement. If you do not agree with the General Terms, do not use our Services. If you agree with the General Terms but disagree with any Service-Specific Terms, do not use the related Services. You can accept the Agreement by checking a box or clicking a button indicating your acceptance of the Agreement or by actually using the Services.

Service Description

You may use the Service for your personal and business purposes or for internal business purposes within the organization you represent. You can connect to the Service using any Internet browser supported by the Service. You are responsible for obtaining Internet access and the equipment necessary to use the Service. You can create and edit content with your user account, and if you choose to do so, you may publish and share that content.

Beta Service

We may offer certain services as closed or open beta services ("Beta Services") for testing and evaluation purposes. You agree that we have the sole authority and discretion to determine the period of testing and evaluation for the Beta Services. We will be the sole judge of the success of such testing and the decision, if any, to offer the Beta Services as commercial services. You are not obligated to obtain a subscription to use any paid Services resulting from your subscription to any Beta Services. We reserve the right to discontinue entirely or in part, at any time and from time to time, temporarily or permanently, any of the Beta Services with or without notice to you. You agree that NoBox will not be liable to you or any third party for any losses related to, arising from, or caused by the modification, suspension, or termination of any Beta Services for any reason.

Free Trial

If you sign up for a free trial, NoBox will provide you with the applicable Services based on the free trial until the earlier of (i) the end of the applicable Service free trial period (unless terminated earlier by you), (ii) the start date of a paid subscription period for the applicable Services, or (iii) termination by NoBox at its own discretion. Any data you enter into the Services, and any customizations made to the Services during the free trial will be permanently lost unless you (i) purchase the corresponding paid subscription plan for the account, (ii) purchase an upgrade to the applicable Services, or (iii) export the data before the end of the trial period. Notwithstanding anything contained in this Section, the Services are provided "as-is" during the free trial, without warranties, agreements, support, or any liability, to the extent permitted by law.

Mandatory User Registration

To register for a user account, provide all necessary information to access or use the Service. If you represent an organization and wish to use the Service for internal company use, we recommend that you and all other users in your organization register user accounts by providing your company's contact information. Specifically, we suggest using your corporate email address. You agree to: (i) provide true, accurate, current, and complete information about yourself as prompted by the registration process; and (ii) maintain and promptly update the information provided during registration to remain true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, outdated, or incomplete, or if NoBox has reasonable grounds to suspect that such information is untrue, inaccurate, outdated, or incomplete, NoBox may suspend your user account and refuse any current or future use of any or all Services.

Usage Restrictions

In addition to all other terms and conditions of this Agreement, you may not: (i) transfer the Services or make them available to any third party; (ii) provide any services based upon the Services without prior written permission; (iii) allow user licenses to be shared or used by more than one individual except through reassignment of the user license to a new user; (iv) attempt to disassemble, reverse engineer, or decompile the Services unless permitted by applicable law; (v) use third-party links to sites without agreeing to their website terms & conditions; (vi) post links to third-party sites or use logos, company names, etc., without prior written permission from them; (vii) attempt unauthorized access to the Services or related systems or networks; (viii) use the Services in a way that could damage, disable, overburden, impair, or compromise NoBox's servers, networks, computer systems, or resources; (ix) use the Services to transmit or store material containing software viruses, worms, or other harmful computer codes, files, scripts, or programs; (x) use the Services in a way that interferes with or disrupts the integrity, security, or performance of the Services, their components, and the data contained therein; (xi) create a false identity to mislead anyone regarding the identity or origin of any communication; (xii) host, display, upload, modify, publish, transmit, store, update, or share any information belonging to another person or entity where you do not have any rights, including any personal or confidential information of any person or entity with regards to which you do not have the consent or permission of such person or entity; (xiii) use the Services to transmit false or misleading information written or published in any form, intending to mislead or harass any person, entity, or agency for financial gain or causing harm to anyone; (xiv) violate applicable local, state, national or international law; (xv) use the Services for any competitive or benchmarking purposes; and (xvi) remove or obscure any proprietary notices or other notices contained in the Services.

Spamming and Illegal Activities

You agree to take full responsibility for the content you transmit through the Service. You agree not to use the Service for any illegal purposes or to transmit material that is unlawful, defamatory, harassing, libelous, invasive of another's privacy, abusive, threatening, harmful, vulgar, pornographic, obscene, or inappropriate, offends religious sentiments, promotes racism, contains viruses or harmful code, or infringes or may infringe upon the intellectual property or rights of others. You agree not to use the Service for the transmission of "junk mail", "spam", "chain letters", "phishing" or unsolicited mass distribution emails. We reserve the right to terminate your access to the Service if there is reasonable belief that you have used the Service for illegal or unauthorized activities.

Third-Party Applications

NoBox Third-Party Application Integration

NoBox services integrate with numerous third-party applications (referred to as "Third-Party Applications"). Access to and use of Third-Party Applications might require acceptance of the applicable terms of service and privacy policies for those applications (referred to as "Third-Party Terms"). You are responsible for reading and understanding the Third-Party Terms before accessing or using the Third-Party Applications. You acknowledge and agree that NoBox is not liable for any Third-Party Application. Although we will endeavor to provide prior notice, if reasonably possible, you acknowledge and agree that NoBox can, at any time, at its own discretion, and without any prior notice to you, suspend, limit, or disable access to or remove from the NoBox services any Third-Party Application, without any liability to you, including but not limited to loss of profits, revenue, data, goodwill, or other intangible losses.
